1. About these Terms

These Website Terms of Use (Terms) govern your access to and use of tasii.com.au, including public website content, enquiry forms and the TASII AI assistant.

In these Terms, TASII, we, us and our mean TASII (ABN 62 112 948 328), an Australian business operating from Exeter, Tasmania, Australia. You means a person accessing or using the website.

By using this website, you agree to these Terms. If you do not agree, you should not continue to use the website.

These Terms govern use of the public website. They do not replace the specific written quote, scope of work, project agreement, service terms, support terms or other contract that may govern paid work performed by TASII.

2. Purpose of the website

The website provides general information about TASII, its services, capabilities, portfolio, insights and ways to discuss a proposed project.

Unless TASII expressly states otherwise in a specific written offer, proposal or agreement, website content is an invitation to discuss or request services, not a binding offer capable of acceptance merely by using the website, sending a form or starting a chat.

A project enquiry does not require TASII to accept a project, reserve capacity, meet a requested deadline or provide services.

3. Quotes, proposals and project contracts

Paid design, development, hosting, maintenance, automation, ecommerce, booking, AI or other project work is governed by the written terms applicable to that project.

Those terms may include:

  • scope and exclusions;
  • deliverables and responsibilities;
  • assumptions and dependencies;
  • price and payment milestones;
  • change-control arrangements;
  • estimated or agreed delivery periods;
  • acceptance and testing;
  • third-party services and licence costs;
  • hosting, support and maintenance;
  • intellectual property;
  • confidentiality;
  • suspension or termination;
  • warranties and liability; and
  • other project-specific requirements.

If a project agreement conflicts with these Website Terms in relation to paid project services, the project agreement prevails to the extent of the conflict.

Any price, timeframe, saving, comparison or example shown on a public website page is general information unless TASII expressly identifies it as a binding quote or contractual commitment to you.

4. Electronic communications and contract formation

Tasmanian and Australian law recognise that transactions and contracts may be formed electronically in appropriate circumstances.

However, TASII does not intend ordinary website browsing, an AI response, a general enquiry, or the submission of a project-enquiry transcript to create a contract for paid services.

A binding project contract arises only where TASII and the client complete the acceptance process identified in the relevant quote, proposal, order, agreement or other authorised communication.

Electronic records, emails and electronically accepted documents may be used as evidence of communications and agreements to the extent permitted by law.

5. TASII AI assistant

The TASII AI assistant is an automated information and enquiry tool.

It may:

  • answer questions about TASII and business or digital projects;
  • provide general explanations, comparisons or calculations;
  • identify when a conversation appears to be developing into a potential TASII project;
  • collect a name and email address after a visitor agrees to keep a conversation as a project enquiry; and
  • submit a completed conversation to TASII when the visitor expressly asks for it to be sent.

The AI assistant is not authorised to bind TASII to a price, deadline, scope, legal position, warranty, project acceptance or other contractual commitment unless TASII separately and expressly confirms that commitment through an authorised contractual process.

AI output is generated automatically and may contain errors, omissions or outdated information. You should verify information that is important to a business, legal, financial, security or technical decision.

Submission of an AI conversation as a project enquiry creates an enquiry record. It does not create a paid-service contract.

TASII Client Portal

A Client Portal account is provided for the authorised client and is intended to make project communication easier. It may show project progress, files, review or approval requests, quotes, billing information and support conversations. Client Portal status information is a working project update and does not replace the written quote, project agreement or any separately agreed deadline.

You must keep your login details confidential and tell TASII promptly if you believe an account has been accessed without authority. You are responsible for ensuring that material uploaded through the Client Portal may lawfully be provided to TASII and used for the relevant project.

Files, approvals, support messages and instructions submitted through an authorised client account may be relied on by TASII as communications from that account. TASII may restrict or suspend Client Portal access where reasonably necessary for security, misuse prevention, account administration or the end of a client relationship.

The Client Portal AI assistant may answer questions using client-visible information. It may send TASII an email or create a support request only when the user asks it to do so. It is not authorised to change a contract, approve additional paid work, change an invoice, promise a deadline or otherwise bind TASII.

6. Accuracy and general information

TASII takes reasonable care in preparing public website content, but the website is general information and may not reflect every fact relevant to your circumstances.

Technology, software, API capabilities, third-party prices, platform terms, laws, search-engine practices and industry standards can change.

To the extent permitted by law, TASII does not warrant that general website information is complete, error-free or continuously current. Where a matter is important to a proposed project, the applicable requirements should be confirmed during project scoping and in the written project documents.

Nothing on this website is intended to constitute legal, accounting, taxation, financial or other regulated professional advice.

7. No guarantee of business outcomes

TASII may design and develop systems intended to improve usability, efficiency, direct sales, enquiries, bookings, search visibility, administration or other business functions.

Unless a written project agreement expressly states a specific measurable commitment, TASII does not guarantee:

  • search-engine rankings or indexing positions;
  • a particular amount of traffic, enquiries, sales, revenue, bookings or profit;
  • advertising or conversion performance;
  • uninterrupted third-party platform availability;
  • continued availability of an external API or software feature;
  • that an AI system will always produce a correct or complete answer; or
  • any other business outcome that depends on customer behaviour, third-party systems, market conditions or factors beyond TASII's reasonable control.

This clause does not exclude any guarantee, warranty or remedy that cannot lawfully be excluded.

8. Information and material you submit

You remain responsible for information and material you choose to submit through the website, AI assistant or project-enquiry process.

You must not knowingly submit material that:

  • you do not have the right or authority to provide;
  • unlawfully infringes copyright, trade marks, privacy, confidentiality or other rights;
  • contains malware, malicious code or instructions intended to compromise systems;
  • is fraudulent, unlawful, defamatory or materially misleading; or
  • contains another person's personal or confidential information without an appropriate basis to provide it.

You retain ownership of material you submit, subject to any separate project agreement.

You grant TASII a non-exclusive, worldwide, royalty-free licence to host, copy, transmit, process and use submitted material only to the extent reasonably necessary to operate the website, respond to you, assess or quote a project, provide agreed services, maintain relevant business records, protect systems and comply with law.

This licence does not give TASII a right to publish your confidential project material as advertising, a testimonial or a public case study without appropriate permission.

9. Confidential and sensitive material

A public contact form or AI assistant is not a substitute for a negotiated confidentiality agreement.

Do not submit passwords, private cryptographic keys, full payment-card details, highly sensitive personal information, valuable trade secrets or other information requiring special security controls through general website fields or the AI assistant unless TASII has agreed on an appropriate method of transfer.

If a proposed project requires disclosure of commercially sensitive information before engagement, contact TASII to discuss an appropriate confidentiality arrangement.

10. Acceptable use and website security

You must not use the website to:

  • break any applicable law;
  • impersonate another person or misrepresent your authority;
  • send spam, abuse, threats or unlawful material;
  • interfere with the operation, availability or security of the website;
  • introduce malware or malicious code;
  • bypass authentication, access controls, rate limits or security measures;
  • probe, scan or test systems for vulnerabilities without prior written authorisation;
  • access data, accounts or administrative functions you are not authorised to access;
  • overload the website through automated requests or denial-of-service activity; or
  • use the AI assistant or other website functions in a manner intended to defeat safeguards or cause harm.

TASII may restrict or block access reasonably necessary to protect the website, its users, its systems or third parties.

11. Intellectual property

Except for third-party material, client material and material expressly identified otherwise, content created and owned by TASII on this website, including text, graphics, layouts, original code, software, documentation and branding, is protected by applicable intellectual-property laws.

Copyright protection arises automatically in Australia for qualifying original material, including writing, photographs, artistic works and computer programs.

TASII grants you a limited, revocable, non-exclusive right to access and use the public website for its intended purpose.

Unless permitted by law or TASII gives prior written permission, you must not:

  • reproduce, republish, distribute or commercially exploit a substantial part of TASII's protected material;
  • copy or adapt source code that is not intentionally provided for reuse;
  • remove copyright, trade mark or attribution notices;
  • systematically scrape or extract website content to create a competing database or service; or
  • use TASII-owned content as a training dataset for a machine-learning or generative-AI system.

Third-party names, logos, screenshots, trade marks and other material remain the property of their respective owners. Their appearance in a TASII portfolio or case study does not transfer ownership to TASII.

Nothing in this clause restricts rights or exceptions that the law gives you and that cannot lawfully be excluded by contract.

12. Third-party websites and services

The website may refer or link to third-party websites, software, payment services, hosting, APIs, ecommerce platforms, maps, social networks or other external services.

A third-party service is governed by that provider's own terms, privacy practices, pricing and availability.

A link or technical integration does not, by itself, mean TASII controls or endorses all content, conduct or policies of the third party.

Where TASII supplies or manages a third-party integration as part of a paid project, TASII's responsibilities are determined by the relevant project agreement and any non-excludable law.

13. Website availability

TASII may maintain, modify, suspend or discontinue website features from time to time.

TASII does not promise uninterrupted public-website or AI-assistant availability. Availability may be affected by maintenance, updates, faults, internet conditions, cybersecurity events or external service providers.

TASII will not use this clause to avoid responsibilities that cannot lawfully be excluded.

14. Privacy and cookies

TASII handles personal information in accordance with the Privacy Policy.

The website uses necessary session and technical technologies for operation, security and chatbot continuity. Further information is contained in the Privacy Policy.

15. Australian Consumer Law

Nothing in these Terms is intended to exclude, restrict or modify a consumer guarantee, right, remedy or liability that cannot lawfully be excluded, restricted or modified, including under the Competition and Consumer Act 2010 (Cth) and the Australian Consumer Law.

Where the Australian Consumer Law applies to services, statutory guarantees may include that services are rendered with due care and skill, are fit for a disclosed purpose in circumstances where that guarantee applies, and are supplied within a reasonable time where no time has been fixed or agreed.

Any disclaimer, limitation or exclusion in these Terms operates only to the maximum extent permitted by law.

16. Liability for use of the public website

The rights and liabilities relating to paid TASII project services are governed by the applicable project agreement and mandatory law.

For use of the public website, and subject always to section 15:

  • you are responsible for evaluating general website and AI information before relying on it for a material decision;
  • TASII is not responsible for loss caused solely by your unlawful use, misuse or unauthorised modification of the website;
  • TASII is not responsible for the independent acts, omissions, terms or outages of a third party merely because the website links to that third party; and
  • to the maximum extent permitted by law, TASII excludes liability for indirect or consequential loss arising solely from use of free general website information where such exclusion is lawful and reasonable.

Nothing in these Terms excludes liability for fraud, wilful misconduct or any liability that the law prohibits TASII from excluding.

17. International access

This website is operated from Tasmania, Australia and is primarily directed to Tasmanian and Australian businesses.

If you access the website from another jurisdiction, you are responsible for complying with laws that apply to your own conduct.

These Terms do not exclude mandatory consumer or statutory rights that apply to you and cannot lawfully be excluded by a choice-of-law clause.

18. Changes to these Terms

TASII may update these Website Terms to reflect changes to the public website, technology or law.

The current version will be published on this page with its last-updated date. Changes to these Website Terms apply prospectively to use of the website after publication.

TASII will not use an update to these public Website Terms to unilaterally alter an existing paid project contract. Changes to an existing project contract are governed by that contract and applicable law.

19. Governing law

Subject to any mandatory law that applies and cannot be excluded, these Terms are governed by the laws of Tasmania, Australia.

You and TASII submit to the courts of Tasmania and courts entitled to hear appeals from them in relation to disputes arising solely from these Website Terms.

20. Severability and waiver

If any provision of these Terms is invalid, illegal or unenforceable, it is to be read down to the minimum extent necessary to make it valid where possible. If it cannot be read down, it is severed and the remaining provisions continue to operate.

A failure or delay by TASII to exercise a right under these Terms does not, by itself, waive that right.
